Preamble

The Founders recognise that the attainment of the highest standard of health is one of the fundamental rights of every human being and an essential attribute of their intangible and inalienable dignity. They therefore wish every person to have access to the essential tools to develop this individual, collective and common good. The Founders recognise that the right to the protection of personal data is one of the fundamental rights of every human being. Thus, personal data — particularly sensitive health data — should not escape the control of the person concerned. Yet these data are also a common good, essential to human society as a whole. Given the exponential advancement of knowledge and technology, it is crucial to develop computing solutions capable of integrating, consolidating and securing data, in a spirit of subsidiarity and solidarity. Accepting these principles and responding to this founding intuition, the Founders establish the Health Data Safe Foundation.

Name, seat & duration

Art. 1, Name and duration

A private foundation is hereby established under Articles 80 et seq. of the Swiss Civil Code under the name "Health Data Safe" (hereinafter the "Foundation"). The Foundation is registered with the Commercial Register and placed under the supervision of the competent supervisory authority. The Foundation is established for an indefinite period.

Art. 2, Seat

The Foundation has its seat in the Canton of Vaud. Any transfer of the seat to another location in Switzerland requires prior approval from the supervisory authority.

Purpose

Art. 3, Purpose

The purpose of the Foundation is to act for public health, quality of care and scientific progress, placing the fundamental rights of patients at the centre of its action. The Foundation aims in particular to enable the persons concerned to retain complete control over their personal data, especially medical data. The Foundation is at the service of human dignity. It refers to the principles of subsidiarity and solidarity. It pursues, jointly and interdependently, the individual good of human persons, the collective good of these persons, and the common good of society as a whole. The Foundation has no profit-making purpose.

Means

Art. 4, Means

The Foundation may undertake any activity appropriate to achieving its purposes, in particular: • Support for health research and innovation: Facilitating access to data for research, care, the development of health solutions and contributing to public health; • Protection of personal data and related fundamental rights: Ensuring the management, protection, confidentiality, integrity, availability and interoperability of data throughout their entire lifecycle, in respect of individuals' fundamental rights and ethical and professional principles; • Advocacy, communication and defence: Raising awareness among the public and various health stakeholders and acting to defend the fundamental rights upheld by the Foundation; • Collaboration with external partners: Establishing partnerships or participations with any third-party entities to implement the Foundation's purposes. The Foundation may be active in Switzerland or abroad.

Governance

Foundation Council

Management is entrusted to a Foundation Council of at least three members; the Council constitutes itself. The Foundation Council is the supreme governing body of the Foundation. The Foundation is placed under the supervision of the Federal Supervisory Authority for Foundations (ASF).
